Terms of Service for Dan AI LLC

1. Eligibility

You must be at least 18 years old and capable of forming a legally binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements.

2. Account Registration and Security

You must register for an account to use features of the Service.

One-User Policy: Each account is licensed for use by one individual only. You may not share your account credentials, allow any other person to use your account, or transfer your account to another person. Any sharing or multi-user access violates these Terms and may result in immediate termination of your account.

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

3. License Grant

Subject to your compliance with these Terms, Dan AI grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your own personal or internal business purposes.

4. AI-Generated Content and Third-Party Data – NO WARRANTIES

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND.

The Service is powered by artificial intelligence and relies on data obtained from third-party sources (including, without limitation, publicly available information and licensed data providers).

Dan AI does not verify, endorse, or guarantee the accuracy, completeness, timeliness, reliability, or availability of any information, data, or outputs provided through the Service.

You expressly acknowledge and agree that Dan AI LLC is not responsible or liable for any inaccuracies, errors, omissions, or outdated information provided by the AI Agent or the Service. Any reliance you place on such information is strictly at your own risk.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DAN AI DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF ACCURACY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

5. Restrictions on Use of Provided Data (including Contact Information Data)

Certain data made available through the Service ("Provided Data"), including but not limited to contact information, email addresses, phone numbers, company data, and other personally identifiable or business information that may or may not be sourced from outside providers, is subject to strict limitations:

You agree that you will NOT:

• Resell, sublicense, lease, or otherwise commercially distribute any Provided Data;
• Copy, extract, scrape, or download Provided Data in bulk for use outside of the Service;
• Use Provided Data for any purpose other than your own individual, personal, or internal business use within the Service;
• Build a competitive product or service using Provided Data;
• Share Provided Data with any third party except as expressly permitted in writing by Dan AI.

Violation of these restrictions may result in immediate termination of your account and may expose you to legal liability from Dan AI and/or the original data provider.

6. Prohibited Conduct

In addition to the restrictions above, you agree not to:

• Use the Service for any illegal, harmful, or abusive purpose;
• Interfere with or disrupt the Service or servers;
• Attempt to gain unauthorized access to the Service or other users' accounts;
• Use any automated means (bots, scrapers, etc.) to access the Service except as expressly authorized;
• Reverse engineer, decompile, or disassemble any part of the Service.

7. Termination

We may suspend or terminate your account at any time, with or without notice, for any reason, including if we believe you have violated these Terms (especially the one-user policy or Provided Data restrictions).

8. Subscriptions and Billing

Term: All subscriptions are on a 12-month (annual) basis.

Annual Plan (paid in full upfront): Receive a discounted premium rate. These payments are final and non-refundable under any circumstances, including termination for breach or voluntary cancellation.

Monthly Payment Plan Annual Subscriptions: May cancel subscription at any time by providing written notice at least 60 days before your desired cancellation date. You will continue to have full access to the Service during the 60-day notice period, and billing will cease only after the 60-day period ends. No prorated refunds will be issued.

Failure to pay any amount when due will result in immediate suspension or termination of your account.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL DAN AI LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING FROM YOUR USE OF THE SERVICE—EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability to you for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Dan AI LLC and its affiliates, officers, and employees from any claims, damages, losses, or expenses (including attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights (including data provider terms).

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Delaware.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the new Terms on the Service and updating the "Last Updated" date. Your continued use after changes constitutes acceptance of the updated Terms.
